Annual ROC Filings for a Private Limited Company

Annual ROC filings for a private limited company: the AGM timeline, AOC-4, MGT-7 or MGT-7A, DIR-3 KYC, ADT-1, additional fees and what non-filing leads to.

ROC FilingsAOC-4MGT-7Annual ComplianceCompanies Act

A private limited company's annual compliance is built around one fixed point - the annual general meeting - and a short run of forms that fall due in the weeks after it. Missing the AGM date pushes every one of those deadlines, so the filing calendar really starts with getting the AGM right.

This guide walks through the AGM timeline, what AOC-4 and MGT-7 or MGT-7A require, where ADT-1 and DIR-3 KYC fit in, what the additional fee for late filing looks like, and what happens when a company lets annual filings lapse for more than a year or two.

The AGM: your anchor date

A company's first AGM must be held within nine months of the end of its first financial year. Every AGM after that must be held within six months of the financial year end, and the gap between one AGM and the next cannot exceed fifteen months. For a company with a 31 March year end, that six-month rule points to 30 September as the usual AGM deadline.

Everything else in this guide is counted from the actual date the AGM is held, so fixing that date early in the year, rather than defaulting to the last possible day, gives more room for the filings that follow.

AOC-4: filing the financial statements

Form AOC-4 carries the company's financial statements, the board's report and the auditor's report to the Registrar, and is due within thirty days of the AGM. Since the fee structure introduced in 2018, there is no flat late fee slab - a straight additional fee of Rs 100 per day applies from the due date until the form is actually filed, with no upper ceiling, which means a filing left pending for months can carry an additional fee well above the original filing fee itself.

MGT-7 or MGT-7A: the annual return

Form MGT-7 is the company's annual return, covering shareholding pattern, directors and key managerial personnel, and is due within sixty days of the AGM. Small companies and one person companies file the shorter MGT-7A instead, introduced to reduce the disclosure burden for companies that qualify as small under the Companies Act's own size test.

The same Rs 100 per day additional fee, with no ceiling, applies to a late MGT-7 or MGT-7A exactly as it does to AOC-4.

ADT-1 and DIR-3 KYC

Form ADT-1, covered in more detail in our statutory audit guide, is due within fifteen days of the AGM at which the auditor is appointed or reappointed, and is easy to overlook once the appointment itself feels settled.

DIR-3 KYC is a separate, director-level filing that keeps a director's DIN active. Its frequency and due date are set by the Ministry of Corporate Affairs and have changed more than once in recent years, so rather than stating a fixed rule here, treat it as a filing that must be completed as and when the Ministry currently prescribes, and check the current requirement before the window closes rather than relying on last year's date.

What continued non-filing leads to

Beyond the additional fee, non-filing has consequences that escalate the longer it continues. Under section 248 of the Companies Act, the Registrar can start the process to strike a company off the register where it has failed to file financial statements or annual returns for two consecutive financial years, subject to the notice procedure the section sets out.

Under section 164(2), a director who has been a director of a company that has failed to file financial statements or annual returns for three consecutive financial years becomes disqualified from reappointment in that company and from appointment in any other company for five years. That disqualification attaches to the individual, not just the one company, which is what makes it the more serious of the two consequences for a director who sits on multiple boards.

Building a filing calendar

A simple way to stay ahead of all of this is to fix the AGM date as early in the year as the financial statements allow, then count every other deadline backward from that one date, and name one person inside the company as the owner of each filing rather than leaving it as a shared responsibility that nobody specifically tracks.

Frequently asked questions

Does a dormant or zero-turnover private company still need to file AOC-4 and MGT-7?

It depends on whether the company has formally obtained dormant status. A company that is merely inactive or has zero turnover, but has not applied for and been granted dormant status under section 455 of the Companies Act, must still file AOC-4 and MGT-7 like any other active company: the filing requirement is tied to being a registered company, not to turnover or trading activity. A company that has been formally granted dormant status files Form MSC-3, the return of a dormant company, within thirty days of the end of each financial year, instead of AOC-4 and MGT-7.

Is there a cap on the additional fee for late AOC-4 or MGT-7 filing?

No. The Rs 100 per day additional fee applies from the due date until the date of filing with no upper ceiling under the current fee rules, so the cost keeps rising the longer the filing is delayed.

How often must DIR-3 KYC be filed?

The Ministry of Corporate Affairs sets and has changed this requirement before, so rather than a fixed annual date, check the current MCA rule for your DIN before assuming last year's timeline still applies.

What is the difference between MGT-7 and MGT-7A?

MGT-7A is the abridged annual return available to small companies and one person companies, with reduced disclosure compared to the full MGT-7 that other private companies file. Both are due within sixty days of the AGM.

Figures in this guide (fees, rates, limits and dates) reflect the rules as of October 2026. They change often, so confirm the current position before you act.
