Company Registration in Dubai from India both sides, handled.
Setting up a company in Dubai from India is two jobs: forming the company in the UAE, and doing it correctly from India under FEMA and the income-tax rules. I help founders, exporters and Indian companies choose between a free zone and a mainland company, coordinate the licence, visa and bank account with UAE partners, and handle the ODI or LRS route, Form FC and the yearly filings in India. See how this fits with other countries on the foreign company incorporation page, or get in touch.
Why Indian businesses set up in Dubai.
Dubai is often the first overseas company an Indian founder or business owner considers: a short flight, a large Indian business community, and licensing that is quick by global standards. These are the people who usually come to us:
Exporters and traders
Indian exporters who want a Gulf trading hub - to buy, hold stock, invoice customers in the Middle East and Africa, and collect in dirhams or dollars.
Service businesses and consultants
IT, design, marketing and consulting firms that win Gulf clients and need a local contracting entity, a UAE invoice and, often, a UAE bank account.
Indian companies building a holding
Indian companies that want a UAE subsidiary to hold overseas operations or intellectual property. This is the route where the FEMA rules bite hardest.
E-commerce and digital founders
D2C brands and online sellers using the UAE as a base for Gulf marketplaces and regional warehousing, and founders who plan to relocate to Dubai.
The first decision: free zone or mainland.
Every Dubai company sits in one of two systems. A free zone company is licensed by a free zone authority; a mainland company is licensed by the emirate's economic department. The choice follows who your customers are, not which licence is cheaper.
| Factor | Free zone company | Mainland company |
|---|---|---|
| Ownership | 100% foreign ownership | 100% foreign ownership for most activities since the 2021 reform of the Commercial Companies Law; some strategic activities still need approvals or local participation |
| Who you can sell to | Customers outside the UAE and other free zone businesses; selling directly into the UAE mainland market is restricted and usually needs a distributor or extra permits | Anyone in the UAE, including government and retail customers, and abroad |
| Usually fits | Export hub, international services, consulting, holding, regional e-commerce | Local trading, retail, contracting, any business whose customers are inside the UAE |
| Office | Flexi-desk to full office, set by the zone; the office size decides how many visas you can sponsor | A physical office lease is usually required |
| Corporate tax | 9% standard regime, or 0% on qualifying income only if the company meets every Qualifying Free Zone Person condition | Standard regime: 0% on taxable income up to AED 375,000 and 9% above it |
A rule of thumb, not advice for your case. UAE rules have changed quickly since 2023, and we confirm the current position with the zone and a UAE tax adviser before anything is formed.
Licence, visa and Emirates ID.
Dubai has many free zones, and the main differences are the activities each zone licenses, its reputation with banks, its office options and its fees. Some are general-purpose; some are built for commodities, media, technology or finance. Our free zone comparison goes zone by zone.
Licence type follows the activity
Commercial (trading), professional (services and consulting) and industrial licences are the usual families. List every activity you will carry on: the bank and the tax authority will compare what you do with what the licence says.
Company form
Most Indian owners use a free zone limited liability company (FZ-LLC or FZCO, depending on the zone) or a mainland LLC. An Indian company can also open a branch, but a separate subsidiary keeps the risk and the tax cleaner.
Residence visa and Emirates ID
After the licence, the company gets an establishment card and can sponsor an investor or employee visa, followed by a medical test and the Emirates ID. Visa numbers depend on the office package. Each visa is an application, not a guarantee.
Can it be done online from India?
Much of a free zone setup - name reservation, application, documents and the licence - can be done remotely. A visa and, in practice, the bank account usually need you in the UAE for biometrics and meetings.
What the UAE company must get right.
The old pitch of a tax-free Dubai company is out of date. These are the points that decide whether the company actually works:
The corporate bank account
Usually the slowest step. Banks look for real activity, a clear source of funds and often a UAE visa and Emirates ID for the signatory. Some ask for a minimum balance. Start the file the day the licence issues, and make sure the money you send from India came through LRS or ODI - the bank will test that same paper trail.
UAE corporate tax
Applies to financial years starting on or after 1 June 2023: 0% on taxable income up to AED 375,000 and 9% above it. Every company must register with the Federal Tax Authority, free zone companies included, and file a return within 9 months of the year end even when no tax is due.
The free zone 0% is conditional
A Qualifying Free Zone Person pays 0% only on qualifying income, and must keep adequate substance in the zone, keep non-qualifying revenue within the lower of 5% of total revenue or AED 5 million, follow transfer pricing rules and keep audited accounts. Small Business Relief, for revenue up to AED 3 million, is not available to a Qualifying Free Zone Person.
VAT at 5%
VAT registration is compulsory once taxable supplies and imports exceed AED 375,000 over twelve months, and optional from AED 187,500. Many exports of services can be zero-rated, so a registered exporter can charge 0% and still recover input VAT.
UBO register and ESR
The company must keep a register of its ultimate beneficial owners and file it with its licensing authority, updating it on every change. The separate economic substance report has been withdrawn for financial years ending after 31 December 2022; substance now sits inside the free zone tax test and the bank's checks.
Yearly renewals
Trade licence renewal every year, visas and Emirates IDs on their own cycles, the corporate tax return, VAT returns if registered, and audited accounts where the zone or the tax position requires them. A lapsed licence blocks visas and banking.
Tax positions in the UAE belong with a UAE tax adviser; we coordinate with one and handle the India side ourselves.
What a CA in India must handle.
Forming the company in Dubai is half the job. Sending money to it from India is overseas investment under FEMA - the Foreign Exchange Management (Overseas Investment) Rules and Regulations, 2022 - and it carries Indian filings every year. Our ODI compliance service covers this in depth.
| Point | Indian company as owner (ODI) | Resident individual as owner (LRS) |
|---|---|---|
| Route | Overseas direct investment by the Indian company through its authorised dealer (AD) bank | ODI by the individual, counted within the Liberalised Remittance Scheme limit of USD 250,000 per financial year |
| Limits and conditions | Total financial commitment in all foreign entities up to 400% of net worth as per the last audited balance sheet, unless RBI directs otherwise | Only in an operating foreign entity not engaged in financial services, and one that has no subsidiary or step-down subsidiary where the individual has control |
| Reporting at the start | Form FC through the AD bank, which obtains a Unique Identification Number (UIN) from RBI before the remittance | Form FC through the AD bank and a UIN, plus the LRS declaration |
| Every year | Annual Performance Report (APR) by 31 December for each foreign entity, and the FLA return to RBI by 15 July | APR by 31 December, certified by a chartered accountant where no statutory audit applies |
| Income-tax return | Disclose the investment and the foreign entity's results as the return requires | Report the shares, the bank account and any signing authority in Schedule FA (foreign assets) of your ITR |
Under the Overseas Investment Rules, an Indian resident cannot invest in a foreign entity that has invested, or invests, into India if that creates a structure with more than two layers of subsidiaries. A Dubai company that will own shares back in India needs a written FEMA view before it is built.
Two risks owners often miss.
Control from India (POEM)
If the Dubai company is in substance managed from India - key decisions taken and board meetings held here - Indian income-tax law can treat it as resident in India under the place of effective management rule, and tax its worldwide income here. Real decision-making in the UAE is the answer, not a nameplate.
Your own residence
The UAE has no personal income tax, but that helps only once you have genuinely stopped being an Indian tax resident under Indian rules. Days spent in India and Indian-source income both matter, so plan any move with your India CA before you rely on it.
Dubai company setup from India, step by step.
A typical sequence for an Indian owner. In many free zones the licence comes within days to a couple of weeks of a complete file; the bank account usually takes longer, so plan for several weeks end to end, set mostly by the bank.
- 01
Structure call
Who owns it (you or your Indian company), what it will sell and to whom, whether you will move to the UAE, and how money will flow between India and Dubai. This decides free zone or mainland and ODI or LRS.
- 02
Zone, activity and office
We shortlist zones that license your activity, compare office packages against the visas you need, and reserve the trade name.
- 03
India approvals and documents
For an Indian company owner: board resolution, valuation where needed, and attested and legalised corporate documents, which take time. For an individual: passport, address proof and the LRS paperwork.
- 04
Form FC and the remittance
We prepare Form FC for the AD bank, obtain the UIN and only then remit the capital, so the investment is reported correctly from day one.
- 05
Licence and incorporation
Application to the free zone or the economic department, signing of the constitutional documents and lease, payment of fees and issue of the trade licence.
- 06
Establishment card, visa and Emirates ID
If you or your staff will live in the UAE or need residency for banking, we coordinate the establishment card, visa, medical and Emirates ID with the zone.
- 07
Bank account and tax registrations
Bank application with a clear business plan and source-of-funds file, corporate tax registration with the Federal Tax Authority, and VAT registration if you will cross the threshold.
- 08
The yearly calendar on both sides
UAE renewals, tax and VAT returns on one side; APR, FLA, Schedule FA and transfer pricing on the Indian side - kept on one calendar we maintain.
What drives the cost of a Dubai company.
There is no single honest price for a Dubai company, which is why we do not quote one before we know your facts. The total depends on the free zone or mainland authority, the activity, the office and, above all, the number of visas.
Licence and office
Government and zone fees for the licence, plus a flexi-desk or office lease. These differ widely from zone to zone and between free zone and mainland.
Visas
Each residence visa adds its own fees, medical and Emirates ID costs, and needs a large enough office. Visa count often moves the budget more than the base licence does.
Bank, audit and tax
Any minimum balance the bank asks for, bookkeeping, audited accounts where needed, and UAE tax and VAT filings each year.
The India side
Document attestation and legalisation, valuation where needed, Form FC, and the yearly APR, FLA and ITR work. Small next to a wrong structure, which is expensive to unwind.
Ask for an estimate for your caseDubai company setup questions.
Can I open a company in Dubai from India?
Yes. An Indian resident individual can invest under the Liberalised Remittance Scheme, and an Indian company can invest through the overseas direct investment route, both under the 2022 Overseas Investment Rules and Regulations. The remittance has to be reported through your AD bank in Form FC, and the investment then carries yearly filings in India.
Is online company registration in Dubai from India possible?
Largely, yes, for a free zone company: name reservation, the application, documents and the licence can usually be handled remotely. A residence visa needs you in the UAE, and most banks expect to meet the signatory in person before opening the corporate account.
How much does it cost to register a company in the UAE?
It depends on the free zone or mainland authority, the activity, the office type and the number of visas. Visas and the office often move the total more than the licence itself, and there are recurring yearly costs too. We give an estimate once we know the activity, the zone shortlist and the visa count.
Should an Indian choose a free zone or a mainland company in Dubai?
If your customers are mainly outside the UAE - exports, international services, holding - a free zone company usually fits. If you will sell to customers inside the UAE, including retail and government, a mainland company usually fits better. Tax, banking and visas then follow from that choice.
Is a Dubai company tax-free for an Indian owner?
Not automatically. UAE corporate tax is 9% on taxable income above AED 375,000, and a free zone company gets 0% only on qualifying income if it meets every condition. On the Indian side, a company managed from India can be taxed in India, and your own income stays taxable in India while you remain an Indian tax resident.
What is the difference between ODI and LRS for a Dubai company?
Both are overseas investment under FEMA. If your Indian company invests, it is ODI by an Indian entity, within a limit linked to its net worth. If you invest personally, it is ODI by a resident individual, counted within the LRS limit of USD 250,000 per financial year and allowed only in an operating company not engaged in financial services.
What filings does an Indian owner of a Dubai company have every year?
In India: the Annual Performance Report by 31 December through the AD bank, the FLA return by 15 July for an Indian company investor, and Schedule FA in your income-tax return. In the UAE: licence renewal, the corporate tax return within 9 months of the year end, VAT returns if registered, and the beneficial owner register.
Will a Dubai company give me a UAE residence visa?
A licence with a suitable office can sponsor an investor visa, subject to the zone's quota and immigration approval. It is an application, not a guarantee, and a visa alone does not end your Indian tax residence.
