How to Improve Your Company's Credit Rating in India

How to improve a company credit rating in India: read the rationale, keep every repayment on time, cut leverage, shorten the cash cycle and fix disclosure.

A credit rating is not fixed. Agencies review it at least once a year, and the published rationale says in plain terms what would move it up or down. Companies that manage the rating like any other business target, knowing which numbers the committee watches, give themselves a real chance of moving it.

This guide sets out the levers that move a rating in India, in the order that usually matters: protect the floor, fix the ratios, then make the case at the right time. There are no shortcuts. Agencies see through year-end window dressing, and an upgrade on thin evidence tends not to last.

Start with your rating rationale

Every published rating comes with a rationale: key strengths, key weaknesses, a liquidity assessment and a section on rating sensitivities. That section is the agency telling you what could trigger an upgrade or a downgrade, often naming the ratio or event it has in mind. Read it before planning anything else.

Note the liquidity descriptor as well: strong, adequate, stretched or poor. A stretched label usually reflects thin cash accruals against repayments, high use of working capital limits or low cash balances, and fixing it removes a common drag on the rating.

Then shadow-rate yourself. Agencies publish their rating criteria and sector methodologies, and the rationales of rated peers are public. Comparing your ratios with peers a notch or two above you shows the gap in numbers, not impressions.

Protect the floor: no delays, ever

Nothing hurts a rating faster than a missed payment. Under SEBI's default recognition norms, agencies treat even a one-day delay in servicing rated debt as a default, and a cash credit or overdraft that stays above its limit or drawing power for more than 30 days can be treated the same way.

After a default, agencies wait for a cure period of clean servicing before moving the rating out of the default category. That is time no company can buy back, and every lender sees the default in the meantime.

The fix is simple discipline. Keep one calendar of every instalment, interest date and coupon, fund the servicing account a few days early, check drawing power monthly, and hold a cash or undrawn-limit buffer for lumpy months.

Cut leverage the durable way

Agencies compare total debt with cash accruals and net worth, and test how comfortably profits cover interest and repayments. They also adjust reported debt: corporate guarantees for group companies, inter-corporate deposits and bills discounted with recourse can be treated as debt-like even when they are not shown as borrowings.

Durable deleveraging comes from retained profits, fresh equity or selling non-core assets. Moving debt to a group company, or repaying a limit on the last day of the year and drawing it again a week later, does not work: agencies read monthly utilisation and bank statements, and window dressing is noticed and remembered.

If promoters are adding money, equity gets the fullest credit. Unsecured promoter loans may get partial credit only if they are subordinated to bank debt and committed to stay in the business, and agencies differ on this.

Shorten the working capital cycle

For many SMEs the cash cycle is where a rating is won or lost. Long debtor days tie up cash, push up use of bank limits and leave no headroom for a bad month. Agencies read debtor, inventory and creditor days together, along with average utilisation of fund-based limits.

A shorter cycle also shrinks the limit you need, which lowers interest cost and total debt together. Levers that usually work:

  • Collect faster: tighter credit terms for new customers, milestone billing on long contracts and a named person owning follow-up
  • Discount receivables where it fits: MSME sellers can discount invoices raised on corporate, PSU and government buyers through TReDS platforms, generally without recourse to the seller
  • Cut inventory: review slow-moving stock and reorder levels, because excess stock is financed by the bank limit
  • Do not fund the gap by stretching creditors: longer creditor days read as liquidity stress, not efficiency
  • Keep headroom: a limit used near its maximum all year signals stretched liquidity even in a profitable business

Fix disclosure, governance and cooperation

Committees weigh the quality of information. Accounts audited on time without qualifications, provisional results that reconcile, clear related-party disclosures and a simple group structure all reduce the discount analysts apply for uncertainty.

Share information before you are asked. Quarterly results, a note on major events and updated projections sent to the analyst build a record of transparency that helps when the upgrade case is made. It also avoids the worst outcome, an issuer not cooperating tag, which lenders read as a warning whatever the underlying numbers.

Governance changes count once they operate. An independent director, an experienced finance head or a board-approved related-party policy adds credibility when there is a track record of it working.

Scale and diversification cannot be rushed

Some weaknesses are structural. Small scale, dependence on a few customers, a single plant or product, commodity price exposure and a short track record all hold ratings down, and agency criteria can limit the rating a small company reaches even when its ratios look strong.

These improve with strategy and time, not presentation. New customers, new markets, a second product line or added capacity are business decisions first; the finance team's job is to document each improvement and make sure the agency sees it as it happens.

Be realistic about the horizon. Moving up a notch usually takes more than one review, because the first review after a change often only confirms that the change is real.

Timing the upgrade request

You need not wait for the annual review. After a material positive event, such as an equity infusion, a large prepayment from internal accruals or a significant long-term contract, share the evidence and ask the agency to review the rating. A review is not a promise of an upgrade; the committee may simply reaffirm.

Prepare a short note mapping each improvement to a rating sensitivity in the last rationale, backed by audited or reviewed numbers. Committees move on evidence that has held for several quarters, so one good quarter is rarely enough.

When an upgrade comes, use it. Many banks link the loan spread to the external rating, so ask for a rate reset at renewal. Also check sanction letters for rating triggers: some raise the rate or create an event of default if the rating falls below a stated level.

Frequently asked questions

How long does a credit rating upgrade take?

There is no fixed timeline. Agencies want improvements to last, so an upgrade usually follows once better numbers appear in audited or reviewed results and hold for more than a quarter. For many companies that means the next annual review or later.

Can we ask the agency for an early review?

Yes. If a material positive event has happened, share the evidence and request a review. The agency decides whether it is material enough to take to the rating committee, and the outcome can be an upgrade or a reaffirmation.

Does repaying a loan improve the rating immediately?

It helps the ratios, but agencies look at how the repayment was funded and whether the improvement lasts. Repayment from internal accruals or fresh equity counts; repayment funded by new borrowing, a group company or stretched creditors usually does not.

Can we switch rating agencies to get a better rating?

A company can appoint another agency, but withdrawing the old rating has conditions. A bank loan rating generally needs the lender's no-objection, a rating on listed debt usually needs conditions such as a minimum rated period and investor consent, and agencies disclose ratings an issuer did not accept. Switching only to chase a higher grade is visible to lenders.
