Singapore Pte Ltd from India: Setup and Annual Compliance
Setting up a Singapore Pte Ltd from India: resident director rule, ACRA steps, banking, corporate tax and GST, the ACRA and IRAS calendar, and the FEMA side.
Singapore is usually discussed as a holding company location for Indian startups raising global money. Many founders need something simpler: an operating company in Singapore to sign contracts with Asian clients, employ regional staff, or bill customers who prefer a Singapore counterparty. The setup is quick, but the local director rule and the annual filings are not optional, and a Singapore company treated as set-and-forget tends to cost more in penalties and bank reviews than it saved.
This guide covers the setup, the tax basics, the annual ACRA and IRAS calendar and the FEMA side in India. If you are considering a Singapore company on top of your Indian company, read my separate piece on Singapore holding structures first. Singapore figures change with each Budget, so every number can change, and Singapore tax positions should be confirmed by a Singapore accountant.
What ACRA needs
A Singapore private company limited by shares (Pte Ltd) is incorporated online through ACRA's BizFile portal. You need at least one shareholder, who can be you or your Indian company, a registered office address in Singapore, and paid-up capital that can be as low as SGD 1.
The gating rule is the director. At least one director must be ordinarily resident in Singapore, meaning a citizen, a permanent resident or a qualifying pass holder. A founder living in India either relocates on a work pass or appoints a nominee resident director through a licensed corporate service provider, which adds a yearly cost and needs a written agreement on what the nominee will and will not do.
A qualified company secretary must be appointed within six months of incorporation. Incorporation itself is usually quick once the service provider completes its identity checks on the foreign shareholders and directors.
Banking and the first months
Local banks and digital business account providers both onboard foreign-owned Singapore companies, subject to their own checks on ownership, source of funds and the business model. Some ask directors to attend in person or complete a video verification. Nothing here is guaranteed, so keep the business description, contracts and Indian remittance paperwork ready from day one.
Once the account opens, fix the financial year end with your accountant. It sets every later deadline, and changing it afterwards needs care.
Tax basics for an operating company
Singapore taxes companies at a flat headline rate of 17% on chargeable income, with a start-up exemption for qualifying new companies in their first years and a partial exemption after that on a slice of income. Dividends from a Singapore company are not taxed again in the shareholder's hands in Singapore under its one-tier system, though India taxes a resident shareholder on dividends received.
GST registration becomes compulsory once taxable turnover exceeds SGD 1 million in a year, at a standard rate of 9%. Voluntary registration below that is possible, with conditions.
Tax residence in Singapore follows where the company's control and management is exercised, usually where the board meets and decides. A Singapore company run entirely from India may not get a Singapore certificate of residence, and without one it cannot claim India-Singapore treaty rates.
The annual ACRA and IRAS calendar
The main recurring items, measured from your financial year end, are below.
Late filings attract penalties and can lead to action against directors, including a nominee director, which is why service providers watch these dates closely. A dormant company is not automatically excused.
- Estimated chargeable income (ECI) to IRAS within 3 months, unless the company qualifies for the waiver.
- Annual general meeting within 6 months, unless dispensed with under the Companies Act.
- Annual return to ACRA within 7 months, with financial statements, often in XBRL format.
- Corporate income tax return (Form C-S, Form C-S Lite or Form C) by 30 November of the following year.
- GST returns, usually quarterly, if registered.
- Statutory audit, unless the company qualifies as small, broadly meeting two of: revenue up to SGD 10 million, total assets up to SGD 10 million and up to 50 employees.
The India side
Investing in the Singapore company is overseas investment under FEMA: personally within LRS as ODI by an individual, or through your Indian company under the ODI route. Form FC goes through the AD bank at the time of investment, then an Annual Performance Report by 31 December, an FLA return by 15 July for an Indian company investor, and Schedule FA in each resident owner's income tax return.
If the Indian and Singapore companies trade with each other, pricing must be at arm's length and documented under transfer pricing rules. To claim treaty rates on payments from India, the Singapore company needs a certificate of residence and Form 10F, and the treaty's anti-abuse provisions look for real business substance.
Then there is POEM: if the Singapore company's key decisions are in substance taken in India, it can be treated as an Indian tax resident. A resident director who only signs what is sent from India does not change that.
When Singapore is the right call
Singapore works best for a real regional business: Asian customers, a regional team, partners who prefer a Singapore counterparty, or investors who favour Singapore. It works poorly as a paper entity to hold profits outside India, because substance, residence and Indian anti-avoidance rules all look through that.
If the aim is investment from US funds, a Delaware company is usually the cleaner fit; if the aim is a Gulf presence, the UAE may be. Choose on customers and investors first, tax second.
Frequently asked questions
Can I set up a Singapore company while living in India?
Yes, but the company needs at least one director ordinarily resident in Singapore, which usually means a nominee director from a corporate service provider unless you relocate.
What corporate tax rate does a Singapore company pay?
17% is the headline rate on chargeable income, and exemptions reduce the effective rate on the first slices of income for qualifying companies. A Singapore accountant should compute your actual figure.
Does a dormant Singapore company still file?
Generally yes. Annual returns and tax filings continue, though some exemptions and waivers can apply to dormant companies.
Does a Singapore company give me a work visa?
No. Relocating needs a separate work pass application with its own criteria, decided by Singapore's Ministry of Manpower. Forming a company is not an approval.
